UMUご利用規約
本利用規約の改定は2021年10月1日から有効となります。
UMU製品とサービス（以下、UMU製品とサービスを総称して「当サービス」といいます。）をご利用頂きありがとうございます。当サービスはUMU Technology CO., LTD (Hong Kong)(以下「UMU」といいます。)：所在地Rooms 06, 13A/F., South Tower, World Finance Centre, Harbour City, 17 Canton Road, Tsim Sha Tsui, Kowloon, Hong Kong SAR）が提供しております。
当社の当サービスをご利用されることにより、これらの条項にご同意頂いたことになりますので、注意深くお読みください。
お客様は当サービスのご利用に伴い、当サービス内において閲覧可能なあらゆるポリシーに従う必要があり、従わない場合、当サービス内で用いられる対応機能のご使用を終了して頂くことになります。
当社の当サービスの誤使用を禁止します。例えば、当社の当サービスの妨害をしたり、当社が提供するインターフェースや使用法以外の方法により、当サービスにアクセスを試みたりしないでください。お客様は、適用される輸出および再輸出を管理する法令や規制などを含む、法律で許されている範囲でのみ当社の当サービスをご利用頂くことができます。もしお客様が当社の規約やポリシーに準拠していない場合、または不正行為の疑いで調査が行われている場合は、お客様に対する当社の当サービスの提供を一時停止または停止する場合があります。
当社の当サービスを利用することによって、当社の当サービスまたはお客様がアクセスされるコンテンツの知的財産権がお客様に付与されることはありません。お客様が権利者から許可を得るか、法律で許可されている場合を除いて、当社の当サービスのコンテンツを使用することはできません。本利用規約は、当社の当サービスで使用されているいかなるブランドやロゴも使用する権利を付与するものではありません。当社の当サービス内または当サービスと共に表示される法的通知を削除、隠蔽、改ざんしないでください。
当社の当サービスにはUMU以外のコンテンツが表示されることがあります。かかるコンテンツについては、コンテンツを閲覧可能にした主体が単独で責任を負います。当社はコンテンツを閲覧し、その違法性や当社のポリシーを侵害していないかを判断し、当社のポリシーや法律に違反していると当社が合理的に判断したコンテンツについて、削除または表示の拒否をする場合があります。ただし、このことは必ずしも全てのコンテンツを審査することを意味するものではありませんので、ご理解ください。
お客様の当サービスの使用に関連して、当社はサービスのお知らせや管理メッセージ、およびその他の情報を通知する場合があります。お客様はこれらの通知の一部を解除することが可能です。
当社の当サービスの多くはモバイル機器で使用することが可能です。しかし、このような当サービスを、お客様の注意力に悪影響を及ぼすような方法、および交通や安全に関する法令を順守することを阻害するような方法で使用しないでください。
一部の当サービスをご利用になるために、UMUアカウントが必要な場合があります。お客様は、自分のUMUアカウントを作成するか、雇用主や教育機関の管理者からUMUアカウントを割り当ててもらうことができます。お客様が管理者に割り当てられたUMUアカウントを使用している場合、異なるまたは追加の規約が適用され、お客様の管理者はお客様のアカウントへのアクセス、およびアカウントを無効にすることが可能になります。
お客様のUMUアカウントを保護するために、お客様のパスワードは大切に保管してください。UMUアカウント内やUMUアカウントを通じて発生する事象は、お客様ご自身が責任を負うことになります。UMUアカウントで使用されているパスワードは、他のアプリケーションでは使用されないようにしてください。万が一、お客様のパスワードまたはUMUアカウントが不正に使用されている可能性がある場合は、速やかにパスワードを変更して下さい。
UMUのプライバシーポリシーでは、お客様が当社の当サービスを使用される際の個人情報の取扱とプライバシーの保護について説明しています。当社の当サービスをご利用になることにより、UMUが当社のプライバシーポリシーに従ってデータを使用することに同意したことになります。
当社は米国デジタルミレニアム著作権法に定められた手続に従い、著作権侵害の申し立ての通知に対応し、著作権侵害を繰り返すアカウントを停止することがあります。
もしお客様がご自身の著作権を侵害されていることにお気付きになられた場合は、support@umu.coまでメールにてお知らせください。当社は慎重に事象の確認を行い、ブロック、削除またはアクセス制限を検討します。
お客様は一部の当サービスにおいて、コンテンツをアップロード、提出、保存、送信または受信することができます。お客様はそれらのコンテンツに関して知的財産権の所有権を保持しています。つまり、お客様のコンテンツはお客様自身のもののままとなります。
お客様がコンテンツを当社の当サービスに対して、または当社の当サービスを通じてアップロード、提出、保存、送信または受信した場合、UMU（および関連する企業）へ、そのコンテンツの使用、ホスト、保存、複製、修正、著作物の二次加工（例えば、翻訳物、改作または当社の当サービスのためにより適した加工を行うなど）、通信、出版、公演、公表、配布等に関する世界的なライセンスを付与したものとします。このライセンスにより付与される権利は、当社の当サービスの運営、宣伝、改善、そして新しい当サービスの開発等の限定的な目的のために使用されます。このライセンスは、お客様が当社の当サービスの使用を停止した場合でも引き続き付与されます。一部の当サービスにおいては、当社の当サービスに提供されたコンテンツに関してアクセスおよび削除の方法が提示される場合もあります。お客様が当社の当サービスに提出する全てのコンテンツに関してこのライセンス譲渡が行われるということを理解してください。
当社の自動化システムは、お客様のコンテンツを分析し、それによりカスタマイズされた検索結果やお勧めのコンテンツ、スパム検出等のようなお客様に合った製品機能を提供します。この分析は、コンテンツが送受信されたり、保存されたりした際に発生します。
UMUがどのようにお客様のコンテンツを使用および保存するかについては、プライバシーポリシーを参照してください。またお客様が送信した当社の当サービスに関するフィードバックや提案に対して、当社はお客様に対する義務を負うことなくそのフィードバックや提案を利用することがあります。
ダウンロード可能なソフトウェアが当サービスにより要求され、また当サービスに含まれる場合、当該ソフトウェアの新しいバージョンや機能が利用可能になった際に、お客様のデバイス上で自動的にアップデートが行われます。一部の当サービスにおいては、お客様が自動アップデートの設定を調整できる場合があります。
UMUは当社の当サービスの一部として、お客様個人に世界規模でロイヤリティフリー、譲渡不可、非独占的にソフトウェアを使用できるライセンスを提供しています。このライセンスは、お客様が本利用規約において許可されている範囲内にて、UMUが提供する当サービスのベネフィットを利用し、享受することのみを目的にしています。
お客様は、法律で制限することを禁止していない限り、または当社の書面による許可を所持していない限り、当社の当サービス又はこれに含まれるソフトウェアのいかなる部分についても、複製、変更、配布、販売、貸出できず、リバースエンジニアリングやソフトウェアのソースコードの抽出を試みることはできません。
オープンソースソフトウェアであることは当社にとって重要です。当社の当サービスに用いられている一部のソフトウェアは、お客様が使用できるオープンソースライセンスに基づいて提供されています。オープンソースライセンスには、本利用規約の一部に明示的に優先する規定が存在する場合があります。
当社は常に当サービスの変更と改善を行っています。当社は機能や特徴の追加、削除またはサービスの完全な一時停止または停止をすることがあります。
当社にとって誠に遺憾ですが、お客様はいつでも当サービスの利用を停止することができます。またUMUも、いつでも、お客様への当サービスの提供を停止し、又は、当社の当サービスに対する新たな制限を追加もしくは新設することができます。
当社はお客様が自分のデータを所有しそのようなデータへのアクセスが保護されることが重要だと信じています。万が一当社が可能な範囲において当サービスを停止する場合、当社は合理的な事前の通知と、当該サービスから情報を取得する機会を提供します。
当社は商業的に合理的なレベルの技術と管理を用いた当サービスをお客様に提供し、お客様に活用して頂けることを望んでいます。ただし当社の当サービスに関して、保証の限りではない部分もございます。
本利用規約および追加の規約において明確に規定されている場合を除き、UMUやサプライヤーおよび代理店は、当サービスに関しての一定の保証を致しかねます。例えば、当社は当サービス内のコンテンツや一定の機能、そしてそれらの信頼性や可用性、またはお客様のニーズに合っているかといった点について一切の責任を負いません。当社は「今ある現状のまま」の当サービスを提供します。
一部の管轄地域では、商品性の黙示的保証や特定の目的への適合性および侵害性のないことなどの特定の保証が提供されます。法律で許される範囲において、当社は全ての保証から免除されます。
法律で許される限り、UMUならびにUMUサプライヤーおよび代理店は、逸失利益、逸失収益、逸失データや、経済的損失、また間接的、特別的、二次的、派生的または懲罰的損害についての責任を負わないものとします。
法律で許される範囲において、黙示的保証を含む本利用規約に基づくあらゆる請求に対するUMUおよびサプライヤーまたは代理店の全ての責任は、お客様が当社の当サービスを利用するために支払った金額に限られます（または、当社が選択した場合には、当サービスをお客様に対して再び提供することに限られます。）。
全ての場合において、UMUおよびUMUサプライヤーまたは代理店は、いかなる合理的に予測できない損失や損害についても責任を負いません。
当社は、一部の国においてはお客様に消費者として法的権利があることを認識しています。もしお客様が当社の当サービスを個人的な目的で使用している場合、本利用規約またはいかなる追加の規約も、契約によって放棄されていない消費者の法的権利を制限するものではありません。
当社サービスの商業使用について
お客様が事業体を代表して当社の当サービスを利用する場合、当該事業は本利用規約を承諾するものとします。当該事業は、当サービスの利用または本利用規約に対する違反に起因又は関連して生じたいかなる請求、訴訟、又は行為（請求、損失、損害、訴訟、判決、訴訟費用及び弁護士費用から生じたあらゆる責任又は費用を含む）から、UMU及びその関連会社、役員、代理店及び従業員を保証し、免責するものとします。
当社は当サービスに適用される本利用規約および追加規約に関して、たとえば法律の変更や当社の当サービスの変更を反映して、その内容を変更することができます。それ故に定期的にこの規約を確認してください。
本利用規約の変更に伴う通知はこのページに掲載されます。また変更後の追加規約の通知は該当する当サービスにおいて掲載されます。これらの変更は日付を遡って適用されることはなく、通知が掲載されてから14日後以降に有効になります。しかしながら、当サービスの新しい機能に関する変更および法的理由による変更の場合は、直ちに有効となります。お客様が変更後の当サービスの規約に同意されない場合は、お客様は、該当する当サービスの使用を停止しなければなりません。
もし本利用規約と追加規約の間に矛盾が生じた場合、追加規約がその矛盾において優先されます。
本利用規約はUMUとお客様の間において有効となります。本利用規約はいかなる第三者の受益権も生み出すことはありません。
もしお客様が本利用規約に従わず、当社が迅速に対応を行わない場合でも、当社が所有する権利（将来的に行動を起こす等）を放棄したことにはなりません。
もし特定の規約に強制力がないことが判明した場合でも、それは他の規約には影響しません。
一部の国の裁判所は、特定の種類の紛争に対し香港法を適用しません。もしお客様がそれらの国に在住しており、香港法が適用外の場合、お客様の国の法律が本利用規約に関連した紛争へ適用されます。それ以外の場合、お客様は、香港の準拠法選択のルールを除き、本利用規約または当サービスに起因または関連するいかなる紛争についても香港法が適用されることに同意します。同様に、もしお客様の国の裁判所が、管轄権と裁判地を香港として合意することを認めない場合、お客様の地域の管轄権と裁判所が本利用規約に関わる紛争に適用されます。それ以外の場合、本利用規約または当サービスに関連又は起因する全ての請求は、香港の裁判所を専属的な管轄裁判所とし、お客様とUMUはそれらの裁判所の人的管轄権に同意することとなります。

Welcome to UMU!
Thanks for using UMU products and services (“Services”). The Services are provided by UMU Technology CO.,LTD (Hong Kong) (“UMU”), located at Rooms 06, 13A/F., South Tower, World Finance Centre, Harbour City, 17 Canton Road, Tsim Sha Tsui, Kowloon, Hong Kong SAR.
By using our Services, you are agreeing to these terms. Please read them carefully.
Using our Services
You must follow any policies made available to you within the Services, otherwise you need to quit using the corresponding features built in the Services.
Don’t misuse our Services. For example, don’t interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.
Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services. Don’t remove, obscure, or alter any legal notices displayed in or along with our Services.
Our Services display some content that is not UMU’s. This content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that does not necessarily mean that we review content, so please don’t assume that we do.
In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.
Most of our Services are available on mobile devices. Do not use such Services in a way that distracts you and prevents you from obeying traffic or safety laws.
Your UMU Account
You may need a UMU Account in order to use some of our Services. You may create your own UMU Account, or your UMU Account may be assigned to you by an administrator, such as your employer or educational institution. If you are using a UMU Account assigned to you by an administrator, different or additional terms may apply and your administrator may be able to access or disable your account.
To protect your UMU Account, keep your password confidential. You are responsible for the activity that happens on or through your UMU Account. Try not to reuse your UMU Account password on third-party applications. If you learn of any unauthorized use of your password or UMU Account, please change the password as soon as possible.
Privacy and Copyright Protection
UMU’s Privacy Polices explain how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that UMU can use such data in accordance with our privacy policies.
We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.
If you think somebody is violating your copyrights and want to notify us, please send an email to support@umu.co. We'll carefully review the material and consider blocking, removing or restricting access to it.
Your Content in our Services
Some of our Services allow you to upload, submit, store, send or receive content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.
When you upload, submit, store, send or receive content to or through our Services, you give UMU (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving our Services, and to develop new ones. This license continues even if you stop using our Services. Some Services may offer you ways to access and remove content that has been provided to that Service. Make sure you have the necessary rights to grant us this license for any content that you submit to our Services.
Our automated systems analyze your content to provide you personally relevant product features, such as customized search results, tailored content recommendation, and spam detection. This analysis occurs as the content is sent, received, and when it is stored.
You can find more information about how UMU uses and stores content in the privacy policy. If you submit feedback or suggestions about our Services, we may use your feedback or suggestions without obligation to you.
About Software in our Services
When a Service requires or includes downloadable software, this software may update automatically on your device once a new version or feature is available. Some Services may let you adjust your automatic update settings.
UMU gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by UMU as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by UMU, in the manner permitted by these terms. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
Open source software is important to us. Some software used in our Services may be offered under an open source license that we will make available to you. There may be provisions in the open source license that expressly override some of these terms.
Modifying and Terminating our Services
We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether.
You can stop using our Services at any time, although we’ll be sorry to see you go. UMU may also stop providing Services to you, or add or create new limits to our Services at any time.
We believe that you own your data and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service.
Our Warranties and Disclaimers
We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we don’t promise about our Services.
Other than as expressly set out in these terms or additional terms, neither UMU nor its suppliers or distributors make any specific promises about the Services. For example, we don’t make any commitments about the content within the Services, the specific functions of the Services, or their reliability, availability, or ability to meet your needs. We provide the Services “as is”.
Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.
Liability for our Services
When permitted by law, UMU, and UMU’s suppliers and distributors, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.
To the extent permitted by law, the total liability of UMU, and its suppliers and distributors, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Services (or, if we choose, to supply you the Services again).
In all cases, UMU, and its suppliers and distributors, will not be liable for any loss or damage that is not reasonably foreseeable.
We recognize that in some countries, you might have legal rights as a consumer. If you are using the Services for a personal purpose, then nothing in these terms or any additional terms limits any consumer legal rights which may not be waived by contract.
Business uses of our Services
If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify UMU and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.
About these Terms
We may modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly.
We’ll post notice of modifications to these terms on this page. We’ll post notice of modified additional terms in the applicable Service. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.
If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.
These terms control the relationship between UMU and you. They do not create any third party beneficiary rights.
If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).
If it turns out that a particular term is not enforceable, this will not affect any other terms.
The courts in some countries will not apply Hong Kong law to some types of disputes. If you reside in one of those countries, then where Hong Kong law is excluded from applying, your country’s laws will apply to such disputes related to these terms. Otherwise, you agree that the laws of Hong Kong., excluding Hong Kong’s choice of law rules, will apply to any disputes arising out of or relating to these terms or the Services. Similarly, if the courts in your country will not permit you to consent to the jurisdiction and venue of the courts inHongkong, then your local jurisdiction and venue will apply to such disputes related to these terms. Otherwise, all claims arising out of or relating to these terms or the services will be litigated exclusively in Hongkong, and you and UMU consent to personal jurisdiction in those courts.
