本利用規約の改定は2023年11月13日から有効となります。

UMU製品とサービス（以下、UMU製品とサービスを総称して「当サービス」といいます。）をご利用頂きありがとうございます。当サービスはユームテクノロジージャパン株式会社(以下「当社」といいます。)所在地東京都新宿区新宿4-1-6 JR新宿ミライナタワー 18階。
当社の当サービスをご利用されることにより、これらの条項にご同意頂いたことになりますので、注意深くお読みください。
当社の当サービスのご利用について
お客様は当サービスのご利用に伴い、当サービス内におけるあらゆるポリシーに従う必要があり、従わない場合、当サービス内で用いられる対応機能のご使用を停止させて頂くことになります。
当社の当サービスの誤った使用が確認された場合当サービスの利用を停止いたします。例えば、当社の当サービスの妨害をしたり、当社が提供するインターフェースや使用法以外の方法により、当サービスにアクセスを試みることは誤った試用です。お客様は、適用される出力および再出力を管理する法令や規制などを含む、法律で許可された範囲でのみ当社の当サービスをご利用頂くことができます。もしお客様が当社の規約やポリシーに準拠していない場合、または不正行為の疑いがある場合は、お客様に対する当社の当サービスの提供を一時停止または停止する場合があります。
当社の当サービスを利用することによって、当社の当サービスの知的財産権がお客様に付与されることはありません。お客様が当社から許可を得るか、法律で許可される場合を除いて、当社の当サービスを使用することはできません。本利用規約は、当社の当サービスで使用されている当社ブランドや当社ロゴを使用する権利を付与するものではありません。当社の当サービス内または当サービスと共に表示される法的通知を削除、隠蔽、改ざんをしないでください。
当社の当サービスにはUMU以外のコンテンツが表示されることがあります。コンテンツについては、コンテンツを閲覧可能にした主体が責任を負います。当社はコンテンツを閲覧し、その違法性や当社のポリシーを侵害していないかを判断し、当社のポリシーや法律に違反していると当社が合理的に判断したコンテンツについては削除または表示の拒否をする場合があります。ただし、必ずしも全てのコンテンツを審査することを意味するものではありません。
お客様の当サービスの使用に関連して、当社は当サービスのお知らせや管理メッセージ、およびその他の情報を通知する場合があります。お客様はこれらの通知の一部を解除することも可能です。
当社の当サービスは携帯電話などのモバイル機器で使用することが可能です。当サービスを、交通や安全に関する法令を順守することを阻害するような方法で使用しないでください。
お客様のUMUアカウントについて
一部の当サービスをご利用いただくために、UMUアカウントが必要な場合があります。お客様は、自分のUMUアカウントを作成するか、雇用主やシステム管理者などからUMUアカウントを割り当ててもらうことができます。お客様が管理者に割り当てられたUMUアカウントを使用している場合、本規約が適用され、お客様の管理者はお客様のアカウントへのアクセス、およびアカウントを有効/無効にすることが可能になります。
お客様のUMUアカウントを保護するために、お客様のパスワードは大切に保管してください。UMUアカウント内やUMUアカウントを通じて発生する事象については、お客様ご自身が責任を負うことになります。UMUアカウントで使用されているパスワードは再利用しないようにしてください。万が一、お客様のパスワードまたはUMUアカウントが不正に使用されている可能性がある場合は、速やかにパスワードを変更して下さい。
プライバシーと著作権保護について
当社のプライバシーポリシーでは、お客様が当社の当サービスを使用される際の個人情報の取扱とプライバシーの保護について説明をしています。当社の当サービスをご利用になることにより、当社が当社のプライバシーポリシーに従ってデータを使用することに同意したことになります。
当社は米国デジタルミレニアム著作権法に定められた手続に従い、著作権侵害の申し立ての通知に対応し、著作権侵害を繰り返すアカウントを停止することがあります。
もしお客様がご自身の著作権を侵害されていることにお気付きになられた場合は、support@umu.co までメールにてお知らせください。当社は慎重に事象の確認を行い、ブロック、削除またはアクセス制限を検討します。
当社の当サービスにおけるお客様のコンテンツについて
お客様は一部の当サービスにおいて、コンテンツをアップロード、提出、保存、送信または受信することができます。お客様はそれらのコンテンツに関して知的財産権の所有権を保持しています。
当社のシステムは、お客様のコンテンツを分析し、それによりカスタマイズされた検索結果やお勧めのコンテンツ、スパム検出等のような、お客様に合った提供を行います。この分析は、コンテンツが送受信されたり、保存されたりした際に発生します。
当社がどのようにお客様のコンテンツを使用および保存するかについては、プライバシーポリシーを参照してください。またお客様が送信した当社の当サービスに関するフィードバックや提案に対して、当社はお客様に対する義務を負うことなくそのフィードバックや提案を利用することがあります。
当サービスのソフトウェアについて
当サービスの新しいバージョンや機能が利用可能になった際に、お客様のデバイス上で自動的にアップデートが行われます。一部の当サービスにおいては、お客様が自動アップデートの設定を調整できる場合があります。
当サービスにはオープンソースソフトウエアが含まれていることがあります。当社の当サービスに用いられている一部のソフトウェアは、お客様が使用できるオープンソースライセンスに基づいて提供されています。オープンソースライセンスには、本利用規約の一部に明示的に優先する規定が存在する場合があります。
当社の当サービスの変更と終了について
当社は常に当サービスの変更と改善を行っています。当社は機能や特徴の追加、削除またはサービスの一時停止または停止をすることがあります。
お客様はいつでも当サービスの利用を停止することができます。また当社も、いつでも、お客様への当サービスの提供を停止し、又は、当社の当サービスに対する新たな制限を追加もしくは新設することができます。
当社はお客様のデータ所有とアクセス可用性を重要であると考えています。万が一当社が当サービスを停止する場合、当社は事前の通知と、当該サービスから情報を取得することとします。ただし、緊急を要する場合はこの限りではありません。
保証と免責事項について
当社は高いレベルの技術と管理を用いて当サービスをお客様に提供し、お客様に活用して頂けることを望んでいます。ただし当社の当サービスに関して、保証ができかねる場合もございます。
本利用規約および追加の規約において規定されている場合を除き、当社は、当サービスに関しての一定の保証を致しかねます。例えば、当社は当サービス内のコンテンツや一定の機能、それらの信頼性や可用性、またはニーズに合っているかの点について一切の責任を負いません。当社は「今ある現状のまま」の当サービスを提供します。
法律で許される範囲において、当社は全ての保証から免除されます。
当社の当サービスに対する責任について
法律で許される限り、当社は、逸失利益、逸失収益、逸失データや、経済的損失、また間接的、特別的、二次的、派生的または懲罰的損害についての責任を負わないものとします。
法律で許される範囲において、黙示的保証を含む本利用規約に基づくあらゆる請求に対する当社の全ての責任は、お客様が当社の当サービスを利用するために支払った金額に限られます（または、当社が選択した場合には、当サービスをお客様に対して再び提供することに限られます。）。
全ての場合において、当社は、いかなる合理的に予測できない損失や損害についても責任を負いません。
当社サービスの商業使用について
お客様が事業体を代表して当社の当サービスを利用する場合、当該事業は本利用規約を承諾するものとします。当該事業は、当サービスの利用または本利用規約に対する違反に起因又は関連して生じた、いかなる請求、訴訟、又は行為（請求、損失、損害、訴訟、判決、訴訟費用及び弁護士費用から生じたあらゆる責任又は費用を含む）から、当社及びその役員、代理店及び従業員を保証し、免責するものとします。
本利用規約について
当社は当サービスに適用される本利用規約および追加規約に関して、法律の変更や当社の当サービスの変更などを反映して、その内容を変更することができます。定期的にこの規約を確認してください。
本利用規約の変更に伴う通知はこのページに掲載されます。また変更後の追加規約の通知は該当する当サービスにおいて掲載されます。これらの変更は日付を遡って適用されることはなく、通知が掲載されてから14日後以降に有効になります。しかし、当サービスの新しい機能に関する変更および法的理由による変更の場合は、直ちに有効となります。お客様が変更後の当サービスの規約に同意されない場合は、お客様は、該当する当サービスの使用を停止しなければなりません。
もし本利用規約と追加規約の間に矛盾が生じた場合、追加規約がその矛盾において優先されます。
本利用規約は当社とお客様の間において有効となります。本利用規約はいかなる第三者の受益権も生み出すことはありません。
もしお客様が本利用規約に従わず、当社が迅速に対応を行わない場合でも、当社が所有する権利（将来的に行動を起こす等）を放棄したことにはなりません。
もし特定の規約に強制力がないことが判明した場合でも、それは他の規約には影響しません。
準拠法と裁判管轄
この利用規約は、日本の法律に準拠し、日本の法律により解釈されます。当社とお客様との間の紛争が協議によって解決しない場合は、訴額により、東京地方裁判所または東京簡易裁判所の裁判管轄に属することを当社とお客様は合意します。

Welcome to UMU
Thank you for using UMU products and services (collectively, the "Services"). Thank you for using the UMU Products and Services (collectively, the "UMU Products and Services"). The Service is provided by UMU Technology Japan Co. (hereinafter referred to as "we", "us", or "our"), located at 18F JR SHINJUKU MIRAINA TOWER, 4-1-6, Shinjuku, Shinjuku-ku, Tokyo, Japan.
By using our service, you agree to these terms and conditions, so please read them carefully.
Use of Our Service
Your use of the Service requires you to comply with all policies within the Service, failure to do so may result in termination of your use of the corresponding features used within the Service.
We will terminate your use of the Service if we find any misuse of the Service. For example, it is misuse to interfere with our Services or to attempt to access the Services by any means other than through the interface or use provided by us. Our Services may display non-UMU content. The entity that makes the content available is responsible for the content. We may review content to determine whether it is illegal or infringes our policies and may remove or refuse to display content that we reasonably believe violates our policies or laws. However, this does not necessarily mean that all content will be reviewed.
In connection with your use of the Service, we may send you notices, administrative messages, and other information about the Service. You may opt-out of some of these communications.
Our Service may be used on mobile devices such as cell phones. You may not use the Service in a manner that would interfere with compliance with traffic or safety laws.
About Your UMU Account
A UMU account may be required to use some of our services. You may create your own UMU account or have a UMU account assigned to you by your employer, system administrator, or others. If you are using an administrator-assigned UMU account, these Terms apply and your administrator will be able to access your account and enable/disable your account.
To protect your UMU Account, please keep your password secure; you are solely responsible for any events that occur in or through your UMU Account. Please do not reuse the password used for your UMU account. If you suspect that your password or your UMU account may have been used in an unauthorized manner, please change your password immediately.
Privacy and Copyright Protection
Our Privacy Policy describes how we treat personal information and protect your privacy when you use our Services. By using our Services, you consent to our use of your data in accordance with our Privacy Policy.
We may respond to notices of alleged copyright infringement and terminate accounts of repeat infringers in accordance with the procedures set forth in the U.S. Digital Millennium Copyright Act.

Your Content on Our Services
You may upload, submit, store, transmit, or receive content on some of our Services. You retain ownership of the intellectual property rights to such content.

About the Software of the Service
When new versions or features of the Services become available, they will automatically update on your device. For some of the Services, you may be able to adjust the automatic update settings.
The Services may contain open source software. Some of the software used in our Services is provided under open source licenses that you may use. Open source licenses may have provisions that expressly supersede some of these Terms of Use.
Our Modification and Termination of the Service
We are constantly making changes and improvements to the Service. We may add or remove features or functionality, or suspend or terminate the Service.
You may stop using the Service at any time. We may also stop providing the Service to you or add or create new restrictions on our Service at any time.
We consider your data ownership and access availability to be important. In the unlikely event that we suspend the Service, we will provide prior notice and retrieve information from the Service. However, this does not apply in the case of an emergency.
Warranty and Disclaimer
We provide this service to you using the highest level of technology and management, and we want you to make use of it. However, there are some things about our Service that we cannot guarantee.

For example, we are not responsible for the content or certain features of the Service, their reliability or availability, or their suitability for your needs. We provide the Service on an "as is" basis.
To the extent permitted by law, we disclaim all warranties.
Our Liability for the Service
To the extent permitted by law, we shall not be liable for lost profits, lost revenues, lost data, or economic loss, nor for indirect, special, consequential, or punitive damages.
To the extent permitted by law, our entire liability for any claim under these terms and conditions, including any implied warranties, is limited to the amount you paid to use our services (or, if we choose, to make our services available to you again). In all cases, we will not be liable to you for any reasonable amount of money paid by you to us.
In all cases, we will not be liable for any reasonably foreseeable loss or damage.
Commercial Use of Our Services
If you use our Services on behalf of a business entity, such business accepts these Terms of Use. Such business shall indemnify and hold us and our officers, agents, and employees harmless from and against any and all claims, actions, suits, or causes of action (including any liability or costs arising from claims, losses, damages, suits, judgments, litigation expenses, and attorneys' fees) arising out of or related to the use of our Services or any breach of these Terms of Use. and shall indemnify and hold us and our officers, agents and employees harmless from and against any and all liability or costs arising out of any claim, loss, damage, suit, judgment, litigation costs and attorney's fees.
About these Terms of Use

Governing Law and Jurisdiction
These Terms of Use are governed by and construed in accordance with the laws of Japan. If any dispute between UMU and you cannot be resolved through consultation, you and UMU agree to submit to the jurisdiction of the Tokyo District Court or the Tokyo Summary Court, depending on the amount of the action.
